Terms of Service

These Terms of Service ("Terms") govern your use of all products and services operated by Velox Link Ltd ("VeloxLink", "we", "us", or "our"), including VeloxLink WMS, VeloxLink Packaging Compliance, VeloxLink Textile Compliance, and VeloxLink Battery Compliance (collectively, "the Services"). By creating an account or installing any of our applications, you agree to these Terms. If you do not agree, do not use the Services.

1. Service Description

1.1 VeloxLink WMS

A multi-channel inventory management platform that connects your sales channels (Amazon, Shopify, eBay, Etsy, Walmart, and others), tracks stock across multiple warehouses, provides reorder intelligence based on sales velocity, manages purchase orders, sends purchase order emails to suppliers on your behalf, and generates operational reports. Accessible at app.veloxlink.com.

1.2 VeloxLink Packaging Compliance

A Shopify application that tracks packaging weight per order, calculates Extended Producer Responsibility (EPR) obligations across five jurisdictions (UK PPT, Germany LUCID, France CITEO, US State EPR, Canada Federal Plastics Registry), monitors the UK PPT registration threshold, generates authority-ready export files (CSV, XML, ZIP), and can push compliance metafields to your Shopify storefront.

1.3 VeloxLink Textile Compliance

A Shopify application that maps textile products to Refashion category codes, calculates eco-contributions with eco-modulation adjustments, tracks compliance across France (Refashion EPR), Netherlands (UPV Textiel), Hungary (MOHU), Latvia, and California (SB 707), provides EU labeling audits, REACH/SVHC tracking, Digital Product Passport (DPP) generation including public-facing consumer pages, Green Claims scanning of product descriptions, and generates declaration-ready export files.

1.4 VeloxLink Battery Compliance

A Shopify application that uses automated detection to identify battery-containing products, manages EPR registrations across EU member states, US states, Canadian provinces, and other markets, calculates jurisdiction-specific fees (including California SB 1215), monitors compliance obligations and filing deadlines, maintains an immutable audit trail, and generates regulatory exports and evidence packs.

1.5 Multi-Product Usage

These Terms apply equally to each Service you use, whether individually or in combination. Each subscription is independent — cancelling one Service does not affect your subscription to another. Data is not shared between Services unless explicitly stated. Using multiple Services does not create any additional warranty, guarantee, or liability beyond what is stated for each Service individually.

2. Account and Eligibility

  • For Shopify applications: you must have an active Shopify store.
  • For VeloxLink WMS: you must create an account with a valid email address.
  • You must be at least 18 years old or the age of legal majority in your jurisdiction.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity on your account.

3. Data Accuracy and Input Responsibility

All outputs of the Services are only as accurate as the data you provide. You are solely responsible for the accuracy, completeness, and timeliness of all data you enter into the Services, including but not limited to:

  • Packaging specifications: weights, material types, recycled content percentages, Canada resin codes, LUCID material categories, CITEO recyclability classes, and EU PPWR fields.
  • Textile specifications: fiber compositions (which must sum to 100%), per-unit weights, product categories, target demographics, country of manufacture, and care instructions.
  • Battery specifications: chemistry types, capacities, weights, cell counts, and battery category assignments.
  • Registration numbers: HMRC PPT, LUCID, ADEME/Refashion, SYDEREP, UPV, CalRecycle, state PRO IDs, and all other EPR registration identifiers.
  • Configuration settings: shipping uplift percentages, 3PL/FBA exclusion handles, dual system operator selections, and declaration type choices.
  • Supplier details: contact information, email addresses, lead times, and minimum order quantities.
  • Certification records: certificate types, numbers, expiry dates, and evidence document URLs.
  • Product data: SKUs, prices, cost prices, barcodes, and product descriptions.

We do not independently verify the physical accuracy of any data you provide. We do not weigh your packaging, inspect your fibers, test your batteries, or audit your certifications. If you enter incorrect data, all downstream calculations, reports, compliance scores, and export files will be incorrect. Incorrect input data does not constitute a defect in the Services.

4. Billing and Subscriptions

4.1 Shopify Applications

  • All charges are billed through your Shopify account via the Shopify Billing API.
  • Plans are available on monthly or annual billing cycles. Annual plans include a 20% discount.
  • Packaging Compliance and Battery Compliance include a 7-day free trial. Textile Compliance includes a 14-day free trial. No credit card is required during the trial period.
  • Order limits are enforced on a rolling 30-day basis. If you exceed your plan's limit, existing data is unaffected — you are prompted to upgrade before new orders are logged.
  • Use of our Shopify applications is also subject to Shopify's Terms of Service and App Store policies. In the event of a conflict between these Terms and Shopify's terms, Shopify's terms prevail with respect to Shopify platform functionality.

4.2 VeloxLink WMS — Stripe Billing

VeloxLink WMS billing is processed entirely through Stripe, Inc. ("Stripe"). By subscribing, you also agree to Stripe's Connected Account Agreement and Stripe's Privacy Policy.

  • Payment processing: You provide your payment method (credit card, debit card, or other accepted method) directly to Stripe via Stripe Checkout. We do not store your full card number, CVV, or billing address — this data is held and processed by Stripe in accordance with PCI DSS Level 1 compliance.
  • Subscription management: Your subscription (plan tier, billing cycle, add-ons) is managed as a Stripe Subscription. Plan changes (upgrades) are prorated immediately by Stripe. Downgrades take effect at the end of the current billing period.
  • Stripe Customer Portal: You may manage your payment methods, view invoices, and update billing details via Stripe's hosted customer portal, accessible from the Billing page within the app. We redirect you to Stripe — we do not handle payment details directly.
  • Plans and pricing: Plans are available on monthly or annual billing cycles. Annual plans include a 20% discount. All plans include a 7-day free trial with full access. No card is required until the trial ends.
  • Plan limits: Each plan includes a monthly order limit (Starter: 500, Growth: 3,000, Pro: 10,000) and a channel integration limit (Starter: 2, Growth: 5, Pro: unlimited). Extra channel integrations may be added at $15/month each as a Stripe subscription line item.
  • Overage billing: By subscribing, you authorise us to add overage charges to your Stripe invoice for orders exceeding your plan's monthly limit. Overage is calculated automatically at the end of each billing cycle and added as a line item to your next Stripe invoice before it is finalised. Per-order overage rates: Starter $0.06, Growth $0.05, Pro $0.04. Orders are never blocked — overage is billed, not prevented. An alert fires at 80% of your monthly limit.
  • Payment failure: If a Stripe invoice payment fails, your account status changes to "Past Due". You retain access to your data but may be restricted from certain features until payment is resolved. Stripe may retry the payment according to its retry schedule. If payment is not resolved, your subscription may be cancelled by Stripe.
  • Refunds: Refunds for WMS are available within 14 days of a billing charge if you have not substantially used the Service during that period. Refunds are processed through Stripe and may take 5-10 business days to appear on your statement.
  • Currency: All WMS billing is in USD. Your bank or card issuer may apply currency conversion fees if your account is in a different currency.
  • Stripe data: We store your Stripe Customer ID and Subscription ID in our database to manage your subscription. We do not store your payment card details, bank account information, or Stripe API keys on your behalf. Your payment data is governed by Stripe's Privacy Policy.

4.3 All Products

  • You may upgrade, downgrade, or cancel your subscription at any time.
  • Downgrades and cancellations take effect at the end of the current billing period.
  • Refunds for Shopify apps are handled in accordance with Shopify's App Store refund policies.
  • Refunds for WMS are available within 14 days of a billing charge if you have not substantially used the Service during that period.

5. Compliance, Tax, and Financial Calculations Disclaimer

This section is critically important. Please read it carefully.

VeloxLink is a reporting, calculation, and data management tool. It is not a legal, tax, compliance, or financial advisory service. We are not solicitors, accountants, tax advisers, or compliance consultants.

5.1 Regulatory Filing Exports

The Services generate export files intended for submission to regulatory authorities, including but not limited to: HMRC PPT CSV (UK), LUCID HPM1 and HJM1 XML (Germany), CITEO CSV (France), CAA consolidated and per-state CSVs (US), Canada Federal Plastics Registry CSV, Refashion Declaration CSV (France textile), NL UPV Declaration CSV (Netherlands textile), SB 1215 Fee Reports (California battery), volume reports (battery), and Evidence Pack ZIPs.

  • All export files are generated from data you provided. We do not verify the underlying data against physical products, actual weights, or real-world conditions.
  • File formats are designed to match published authority schemas to the best of our knowledge. However, schema requirements, filing formats, and acceptance criteria change — we cannot guarantee that any authority will accept a file generated by the Services without modification.
  • You are responsible for reviewing every figure in every export file before submission to any regulatory authority.
  • Evidence Packs and summary documents are convenience tools for internal record-keeping — they are not certified audit documents and do not carry legal weight independent of your own verification.
  • We do not submit filings on your behalf. The act of submitting any report, declaration, or filing to any regulatory body is always and exclusively your responsibility.
  • Regulatory penalties for incorrect filings (including but not limited to fines of up to €200,000 per infraction under German VerpackG, penalties under UK Finance Act 2021 for PPT, and state-level penalties in US EPR jurisdictions) are solely your responsibility.

5.2 Tax and Fee Calculations

  • The Services calculate tax liabilities, EPR fees, eco-contributions, and other financial obligations using rates loaded from published regulatory sources. These rates include but are not limited to: UK PPT at £228.82/tonne, France CITEO material rates, France Refashion per-unit rates by category code, Netherlands UPV at €0.24/kg, California SB 1215 at 1.5% of product price, and multi-jurisdiction battery EPR fees.
  • Rates, tariffs, and fee schedules change periodically. While we strive to keep them current, we do not guarantee that any rate in the system reflects the current rate set by the relevant authority. You must verify rates with the authority before relying on them for filing or payment.
  • Currency conversions used in multi-jurisdiction fee projections are approximate and are not suitable for financial reporting, tax filing, or accounting purposes.
  • Fee forecasts and annual projections are estimates based on current order run rates and are not guarantees of future obligation amounts.
  • Eco-modulation calculations (France CITEO recyclability classes, France Refashion primes and maluses, battery eco-modulation) are based on our interpretation of published fee schedules and may differ from the final calculation applied by the relevant PRO or authority.

5.3 Threshold Monitoring

  • The UK PPT threshold monitor tracks your rolling 12-month plastic packaging tonnage against the 10-tonne HMRC registration threshold. The velocity-based projection of your threshold crossing date is an estimate, not a guarantee.
  • If the threshold monitor underreports due to missed webhooks, incorrect weights, or data gaps, you may exceed the threshold without receiving a warning. You remain legally responsible for monitoring your own threshold status independently of the Services.
  • Registration expiry monitoring (Battery Compliance) and filing deadline tracking are informational tools — we do not guarantee that all deadlines or expiry dates are correct or that notifications will be delivered in time.

6. Automated Decisions, AI, and Algorithmic Features

Several features across the Services use algorithms, statistical models, or rule-based automation to generate suggestions, classifications, and actions. All automated outputs are advisory, not definitive. You must review and confirm any automated suggestion before acting on it.

6.1 VeloxLink WMS

  • Auto-drafted purchase orders: When a velocity spike is detected (7-day rate exceeding 2x the 30-day average for 3 consecutive days), the system automatically creates a draft PO with a suggested quantity. This draft is not sent to your supplier unless you explicitly review and send it. The suggested quantity is an estimate based on recent sales trends.
  • Safety stock recommendations: Calculated using a statistical safety stock formula (Z-score = 1.65, targeting a 95% service level) based on demand variance and lead time variance. The "Apply" function can batch-update reorder points across hundreds of products. You should review recommendations before applying them.
  • Capital at risk classifications: Products are classified as "dead stock", "slow movers", or "overstock" based on algorithmic rules. These classifications are informational and should not be the sole basis for financial decisions such as write-offs, liquidation, or tax reporting.
  • Transfer suggestions: Warehouse-to-warehouse transfer recommendations are based on days-of-supply imbalances. Executing a transfer modifies your inventory records — ensure the physical stock movement actually occurs.
  • Velocity projections and revenue-at-risk estimates: Based on short-term sales trends and are not forecasts of future performance.

6.2 VeloxLink Battery Compliance

  • Automated battery detection: Uses rule-based keyword matching against product titles, types, tags, and vendor strings to identify products that likely contain batteries. This is not a physical inspection, laboratory test, or professional assessment. It may produce false positives (flagging non-battery products) or false negatives (missing battery products). You are responsible for reviewing and confirming all detection results.
  • Chemistry and category suggestions: Suggested battery chemistry types (Li-ion, LFP, NiMH, lead-acid, etc.) and categories (portable, LMT, industrial, SLI) are inferred from text analysis — not from product testing or manufacturer documentation.
  • Fee anomaly detection: Compares period-over-period fee changes and flags anomalies. Anomaly thresholds are arbitrary — a flagged change may be legitimate, and an unflagged change may still warrant investigation.
  • Submission readiness assessments: Evaluate data field completeness, not data accuracy. A "ready" status does not mean the filing is correct or complete.

6.3 VeloxLink Textile Compliance

  • Green Claims Scanner: Scans your Shopify product descriptions for terms that may violate the EU Green Claims Directive (COM/2023/0166) and the Unfair Commercial Practices Directive (2005/29/EC). The scanner reflects our interpretation of published and draft EU legislation — it is not legal advice. Flagged terms may or may not result in enforcement action. Absence of flags does not mean your product descriptions are legally compliant. You should consult a qualified legal professional for definitive guidance on environmental claims.
  • Refashion category code resolution: Automatically resolves product category + target demographic to a Refashion code. If the mapping is incorrect, your fee calculation and declaration will be wrong.
  • Eco-scores and environmental impact scores: Based on simplified methodologies with fixed impact values. They do not constitute life-cycle assessments or certified environmental evaluations.
  • Readiness scores and grades: Measure data field completeness and configuration coverage — not legal compliance. A high readiness score does not mean you are compliant with any regulation.

7. Digital Product Passport and Public-Facing Content

VeloxLink Textile Compliance generates public-facing Digital Product Passport (DPP) pages accessible without authentication via URL or QR code. These pages display product data including fiber composition, country of manufacture, chemical compliance status, certifications, recyclability, and care instructions.

  • You are solely responsible for the accuracy of all data displayed on public DPP pages. DPP pages reflect exactly the data you entered — we do not verify it against the physical product.
  • The DPP feature is provided as a readiness and transparency tool. It does not constitute compliance with EU ESPR Regulation 2024/1781 or any other current or future regulation until the relevant delegated acts are finalised, published, and transposed into national law.
  • References to "verified through VeloxLink" on DPP pages mean that the required data fields are present and complete — they do not mean that VeloxLink has physically verified, tested, or independently confirmed the accuracy of the data.
  • We are not liable for consumer complaints, regulatory enforcement actions, trading standards investigations, or any other disputes arising from information displayed on public DPP pages.
  • You may disable public DPP pages at any time from the application settings.
  • QR code labels generated by the Services are provided for your convenience. You are responsible for how and where you apply them to your products or packaging.

8. Third-Party Platform Integrations

8.1 Inventory Sync and Stock Push (VeloxLink WMS)

  • VeloxLink WMS can push stock quantities to connected sales channels (Shopify, Amazon, eBay, Etsy, Walmart, and others), overwriting the live stock count on your marketplace listings.
  • Inventory sync and stock push operate on a best-effort basis. We do not guarantee real-time accuracy. Delays may occur due to API rate limits, sync intervals, platform processing times, or third-party outages.
  • We are not liable for oversells, undersells, cancelled orders, negative customer reviews, marketplace penalties, account suspensions, or any other losses resulting from inventory sync delays or inaccuracies.
  • You should verify critical stock counts directly on each sales channel before high-volume periods (promotions, seasonal launches, flash sales).
  • Stock adjustments, purchase order receives, and warehouse transfers modify your inventory records. These modifications are reflected in your next sync to connected channels. Verify quantities before confirming.

8.2 Third-Party API Reliance

  • The Services rely on APIs provided by third-party platforms including but not limited to: Shopify (store data, order webhooks, billing), Amazon Seller Central (order sync, inventory push), eBay, Etsy, Walmart Marketplace, Faire, ShipStation, ShipBob, Shippo, Royal Mail (shipping data), Xero, QuickBooks (accounting push), Klaviyo, Mailchimp (marketing events), Stripe (payment processing, subscription management, invoicing), and Clerk (authentication). We are not responsible for downtime, data loss, errors, rate limiting, or changes to any of these third-party APIs.
  • If a third-party API changes its schema, revokes access, or restricts functionality, we are not liable for resulting data gaps, sync failures, or service interruptions.
  • We are not affiliated with, endorsed by, or a partner of Amazon, Shopify, eBay, Etsy, Walmart, or any other third-party platform unless explicitly stated.

8.3 Integration Credentials

  • You may provide API keys, access tokens, refresh tokens, and other credentials to connect third-party platforms. These credentials are encrypted at rest using application-level encryption (AES-256-GCM).
  • You are responsible for the security and scope of the credentials you provide. Do not provide credentials with more permissions than the integration requires.
  • We are not liable for unauthorised access to your third-party accounts resulting from credential theft, platform breaches, or your failure to rotate or revoke compromised credentials.

8.4 Webhook Reliability and Data Completeness

  • All compliance applications depend on Shopify order webhooks to log compliance data. Webhook delivery is controlled by Shopify, not by us. We cannot guarantee that every webhook will be delivered — platform outages, rate limits, network issues, or misconfigurations may cause gaps.
  • The WMS relies on third-party webhooks and API polling for order sync, stock updates, and product data.
  • A "healthy" webhook status indicator means we have received recent webhooks — it does not guarantee that zero webhooks have been missed.
  • You should periodically verify data completeness by comparing order counts and product records in the app against your Shopify admin or other source systems.

9. Communications Sent on Your Behalf

  • Purchase order emails (WMS): VeloxLink WMS can send purchase order emails to your suppliers using your company name and details. These emails are sent at your direction and on your behalf. The contents (line items, quantities, costs, delivery addresses) are generated from data you entered. We are the communication conduit — we are not a party to any transaction between you and your supplier. Incorrect PO data may create unintended contractual obligations with your supplier.
  • Inventory digest emails (WMS): Periodic emails containing stock alerts, reorder forecasts, open PO values, and inventory valuations may be sent to email addresses you configure. You are responsible for ensuring recipient email addresses are correct — we are not liable for sensitive business data sent to incorrect addresses.
  • Compliance deadline notifications: Filing deadline reminders, registration expiry alerts, and certification expiry warnings are informational. We do not guarantee delivery of these notifications. You remain responsible for tracking your own deadlines independently.
  • We do not guarantee email deliverability. Emails may be filtered by spam filters, rejected by recipient servers, or delayed by network conditions.

10. Storefront Modifications (Shopify Apps)

  • VeloxLink Packaging Compliance can push compliance data to Shopify product metafields (namespace: veloxlink_compliance). This writes data to your Shopify store that may be visible on your storefront depending on your theme configuration.
  • Features that write data to your Shopify store are executed at your direction. We are not responsible for unintended storefront display changes, theme incompatibilities, or customer-facing presentation issues resulting from metafield pushes.
  • You should test metafield visibility on your storefront in a preview or staging environment before enabling customer-facing compliance labels.

11. Certification Tracking

  • VeloxLink Textile Compliance tracks third-party certifications (GOTS, OEKO-TEX, Bluesign, GRS, RCS, and others) including certificate numbers, types, and expiry dates.
  • You are responsible for keeping certification records current. If a certificate expires and you fail to update it, the system automatically excludes it from eco-modulation calculations, which may increase your fees.
  • We do not verify the validity, authenticity, or current status of any certification you upload. We store what you provide.
  • Displaying a certification on a public DPP page or claiming eco-modulation primes based on a certificate is your responsibility. If the certificate is invalid, expired, or fraudulent, the resulting incorrect declaration or consumer-facing claim is your liability.

12. Data and Intellectual Property

  • Your data: You retain full ownership of all data you provide (order data, product data, specifications, registration numbers, integration credentials, certification records).
  • Our property: We retain ownership of the Services, including all source code, algorithms, fee tables, detection dictionaries, category mappings, designs, documentation, and branding.
  • Licence: We grant you a non-exclusive, non-transferable, revocable licence to use the Services for the duration of your active subscription.
  • Feedback: If you provide suggestions or feature requests, we may use them to improve the Services without obligation to you.
  • Generated outputs: Compliance reports, export files, DPP pages, and other outputs generated by the Services from your data are your property. However, the algorithms, templates, file format logic, and calculation methodologies used to generate them remain our property.

13. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or to facilitate illegal activity.
  • Attempt to access other users' data or accounts.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
  • Use the Services to generate fraudulent compliance reports, false regulatory filings, misleading environmental claims, or fabricated audit evidence.
  • Intentionally enter false data to generate incorrect compliance outputs.
  • Resell, sublicense, or redistribute the Services or any outputs without our written consent.
  • Use automated scripts, bots, or scrapers to access the Services in a manner that degrades performance for other users.
  • Upload malicious code, viruses, or harmful content.
  • Exceed reasonable API usage limits or circumvent rate limiting.
  • Use DPP public pages, metafield pushes, or Green Claims Scanner outputs to make claims that you know to be false or misleading.

14. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Velox Link Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising from your use of or inability to use the Services.
  • Without limiting the generality of the above, we are specifically not liable for:
    • Regulatory penalties, fines, interest, or adverse outcomes from government authorities;
    • Tax liabilities or underpayments resulting from incorrect calculations;
    • Marketplace suspensions, account bans, or seller performance penalties;
    • Overselling or underselling losses resulting from inventory sync delays or inaccuracies;
    • Consumer claims arising from information displayed on public DPP pages;
    • Supplier disputes arising from purchase orders sent via the Services;
    • Losses from acting on automated suggestions (auto-drafted POs, safety stock recommendations, transfer suggestions, battery detection results);
    • Data breaches or unauthorised access to your third-party platform accounts via stored integration credentials;
    • Losses resulting from missed webhooks, incomplete data sync, or third-party API failures.
  • Our total aggregate liability for all claims related to the Services — whether arising from a single subscription or multiple subscriptions across different VeloxLink products — shall not exceed the lesser of: (a) the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim, or (b) the direct damages you actually suffered.
  • Each Service is provided independently. Liability arising from one Service does not create or increase liability for another.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Velox Link Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Inaccurate, incomplete, or false data you provide to the Services.
  • Regulatory filings, declarations, or reports you submit based on data generated by the Services.
  • Content displayed on public Digital Product Passport pages generated from your data.
  • Environmental claims you make or remove based on Green Claims Scanner results.
  • Purchase orders you send to suppliers via the Services.
  • Stock quantities pushed to third-party platforms via the Services.
  • Battery product classifications you accept, reject, or fail to review based on automated detection.
  • Compliance metafields pushed to your Shopify storefront.
  • Any third-party claim related to data accuracy, regulatory compliance, or consumer-facing information that originated from data you entered into the Services.

16. Service Availability

  • We aim for high availability but do not guarantee 100% uptime.
  • We may perform scheduled maintenance with reasonable advance notice.
  • We may perform emergency maintenance without notice to address security vulnerabilities or critical issues.
  • We reserve the right to modify, suspend, or discontinue features with 30 days' notice. If we discontinue a core feature that materially reduces the value of your subscription, you may cancel for a pro-rata refund.

17. Termination and Data Deletion

  • You may cancel your subscription or uninstall the application at any time.
  • We may suspend or terminate your access if you violate these Terms, subject to reasonable notice where practical.
  • Upon termination, your data is retained for 30 days (in case of reinstallation or reactivation), then permanently and irreversibly deleted. See our Privacy Policy for full details.
  • Immutable audit records: Certain compliance actions (such as audit trail events in Battery Compliance and compliance log entries in Packaging and Textile Compliance) are stored as immutable records that cannot be edited or deleted by you or by us. This is by design and is required for regulatory accountability. These records are deleted only when all account data is deleted after the 30-day retention period.
  • Factory reset (WMS): The factory reset function permanently and irreversibly destroys all organisation data, including products, orders, purchase orders, integrations, warehouses, suppliers, and history. There is no recovery path. This action is your responsibility.
  • Sections 3 (Data Accuracy), 5 (Compliance Disclaimer), 6 (Automated Decisions), 7 (DPP Disclaimer), 12 (Intellectual Property), 14 (Limitation of Liability), 15 (Indemnification), and 18 (Governing Law) survive termination.

18. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws require otherwise.

If you are a consumer in the European Union, you retain any mandatory consumer rights under the laws of your country of residence, and nothing in these Terms limits those rights.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Velox Link Ltd regarding the Services and supersede all prior agreements, understandings, or representations.

21. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the relevant application or by email at least 14 days before they take effect. The "Last updated" date at the top will be revised.

Continued use of the Services after changes take effect constitutes acceptance. If you disagree with the updated Terms, you may cancel your subscription and uninstall the application before the changes take effect.
